You acknowledge that astica's services and all related documentation, software, and intellectual property are the sole and exclusive property of astica. astica may terminate your use of its services at any time, for any reason or no reason, with or without notice. If astica terminates your use of its services, astica will not be liable to you or any third party for any damages arising out of the termination of your use of its services.

ASTICA'S SERVICES ARE PROVIDED "AS IS" AND WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. ASTICA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ASTICA MAKES NO WARRANTIES REGARDING THE USE OR RESULTS OF THE USE OF THE SERVICES IN TERMS OF CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. YOU ASSUME ALL RISK AND RESPONSIBILITY FOR THE USE OF ASTICA'S SERVICES. IN NO EVENT SHALL ASTICA BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF ASTICA'S SERVICES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF ASTICA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (A) THE USE OR INABILITY TO USE ASTICA'S SERVICES; (B) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION, OR SERVICES OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM ASTICA'S SERVICES; (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (D) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON ASTICA'S SERVICES; OR (E) ANY OTHER MATTER RELATING TO ASTICA'S SERVICES. IF YOU ARE DISSATISFIED WITH ANY PORTION OF ASTICA'S SERVICES, OR WITH ANY OF THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING ASTICA'S SERVICES.

Indemnification
You agree to indemnify, defend, and hold harmless Astica and its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, actions, demands, liabilities, damages, or expenses, including reasonable attorneys' fees, arising out of your use of Astica's services or your breach of these Terms.

Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of California, without giving effect to its conflict of laws provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or your use of Astica's services shall be brought exclusively in the state or federal courts located in San Francisco, California, and you consent to the personal jurisdiction of such courts.

Entire Agreement
These Terms constitute the entire agreement between you and Astica with respect to your use of Astica's services and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and Astica. Any waiver of any provision of these Terms will be effective only if in writing and signed by Astica.
